Terms and Conditions for Diagnostic Management System and Video Tutorial Services
These Terms and Conditions (“Terms”) govern the use of the Diagnostic Center Management System (“DMS”) software and the accompanying video tutorial services provided by Codelent Technologies, a software company (“Company”). By accessing or using the DMS software and video tutorials, you agree to be bound by these Terms.
- License to Use DMS Software:
1.1. The Company grants you a non-exclusive, non-transferable license to use the DMS software solely for the purpose of managing diagnostic center operations.
1.2. You may install and use the DMS software on a single computer or network environment for each license purchased. - Access to Video Tutorials:
2.1. The Company provides access to video tutorials designed to assist in the training of your staff on the effective use of the DMS software.
2.2. Access to the video tutorials is granted solely to the registered user or authorized personnel of the diagnostic center purchasing the DMS software license. - Intellectual Property Rights:
3.1. The DMS software and video tutorials, including all copyrights, trademarks, and other intellectual property rights, are owned by the Company.
3.2. You agree not to copy, modify, distribute, or reverse engineer the DMS software or video tutorials. - Payment and Fees:
4.1. You agree to pay the applicable fees for the DMS software license and video tutorial services as per the pricing and payment terms provided by the Company.
4.2. All fees are non-refundable once payment is made. - User Responsibilities:
5.1. You are responsible for providing accurate and up-to-date information during the registration process.
5.2. You are responsible for maintaining the security and confidentiality of your account credentials and for all activities that occur under your account.
5.3. You agree not to use the DMS software or video tutorials for any unlawful or unauthorized purpose. - Support and Maintenance:
6.1. The Company provides technical support and maintenance services for the DMS software during the subscription period.
6.2. Technical support is provided via email or other communication channels as determined by the Company. - Limitation of Liability:
7.1. In no event shall the Company be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the DMS software or video tutorials.
7.2. The Company’s total liability under these Terms shall not exceed the total amount paid by you for the DMS software license and video tutorial services. - Termination:
8.1. The Company reserves the right to terminate or suspend your access to the DMS software and video tutorials at any time without prior notice for any violation of these Terms.
8.2. Upon termination, you must cease all use of the DMS software and video tutorials and destroy all copies of the software in your possession. - Governing Law:
9.1. These Terms shall be governed by and construed in accordance with the laws of INDIA, without regard to its conflict of law provisions. - Modification of Terms:
10.1. The Company reserves the right to modify or amend these Terms at any time. Any changes to these Terms will be effective immediately upon posting on the Company’s website or notification to you.
By accessing or using the DMS software and video tutorials, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the DMS software or video tutorials.
